Michael J. Semack


Michael Semack is an experienced legal professional with over two decades of experience in corporate and securities law, commercial lending, construction finance, licensing, mergers and acquisitions, commercial litigation and appellate practice. In particular, his experience includes representing buyers and sellers (public and private as well as international and domestic) in acquisitions and divestitures through mergers (including through tender offers), reorganizations and sales of stock and assets; representing issuers in private placements, public offerings and ongoing SEC compliance matters.

Mr. Semack most recently was the General Counsel of Lirio, LLC, a healthcare focused communication technology company that uses behavioral science to segment and communicate with each applicable audience on a personalized level.

Prior to that, Mr. Semack was the General Counsel and Chief Compliance Officer of BPV Capital Management LLC an SEC registered investment advisor that managed a family of funds and accounts with over $2B of assets under management.

Mr. Semack came to BPV from the Wall Street firm of Solomon Blum Heymann LLP, where he specialized in transactional corporate and securities practice, with an emphasis on international and domestic corporate finance.

As part of his international practice, Mr. Semack represented clients from several countries in Europe, Asia, the Caribbean and South America. Commensurate with this experience, he authored the U.S. Securities Law chapter for the International Securities Law treatise published by BNA International, he served as a participant for events sponsored by the Center for International Legal Studies in Salzburg, Austria and also participated as a representative delegate to the United Nations Commission of International Trade Law (UNCITRAL) dealing with issues that affect international trade and business.

Other previous positions include his participation as an Advisory Member of the Major Gift Committee for University of Michigan Office of Development and serving as an Arbitrator for the National Futures Association.

Mr. Semack is admitted to practice in the States of New York, New Jersey, Michigan and Tennessee. He is also admitted to the Supreme Court of the United States, the United States District Courts for the Eastern and Southern Districts of New York and the District of New Jersey. In addition, he is a member of the American Bar Association, the New York State Bar Association, the New Jersey State Bar Association, the State Bar of Michigan, Tennessee Bar Association, the Knoxville Bar Association and the New York County Lawyers Association.

Michael attended the University of Michigan in Ann Arbor, Michigan where he played varsity ice hockey and graduated with a Bachelor of Arts degree. Michael earned his Juris Doctor degree from Brooklyn Law School in Brooklyn, New York.
